Legal Information

This page sets out the legal and company information that a commercial website operating in South Africa is required to publish, together with the terms on which this website and its content are made available. It applies to every reader, subscriber, advertiser, contributor and casual visitor who accesses any part of the site, whether through a browser, a mobile device, an email newsletter, a syndicated feed or any other channel we operate.

South African law does not leave the disclosure of business information to chance. A supplier who offers goods or services on a website must make certain particulars permanently available to the public. The principal sources of that duty are section 43 of the Electronic Communications and Transactions Act 25 of 2002, which requires a supplier to disclose its full name, its legal status, its registration number and the address at which it will accept service of legal documents, together with the other information described on this page; section 79 of the Consumer Protection Act 68 of 2008, which governs the information a consumer must receive before an agreement is concluded; the Protection of Personal Information Act 4 of 2013, which regulates how personal information is collected, used and protected; and the Promotion of Access to Information Act 2 of 2000, which regulates requests for access to records held by a private body.

Because we publish editorial material about entertainment and celebrity culture, we also work within the copyright and trade mark framework of the Republic of South Africa, including the Copyright Act 98 of 1978 and the Trade Marks Act 194 of 1993.

1. Who we are and the role we play

This website is published by Viewpoint Holdings (Pty) Ltd, a private company registered in the Republic of South Africa, which trades as Wayfare Culture and which is referred to on this page as the publisher, we, us or our. The name CluePax.com is the identity used for this website and for the editorial brand under which the content is published.

Our role is that of a commercial publisher. Where we sell magazines, subscriptions, digital editions, tickets, merchandise or advertising space through the site, we act as a supplier within the meaning of the Consumer Protection Act 68 of 2008 and we carry the obligations that attach to that role. Where we carry advertising, sponsored articles, branded content, competitions or affiliate recommendations, we act as a media owner and an intermediary, and in some cases as an advertiser in our own right.

1.1 What we are not

We are not a bank, an insurer, a credit provider, a financial services provider, a medical practitioner or a law firm. Nothing published on this website is professional advice of any kind, and nothing on it should be relied upon as a substitute for advice from a suitably qualified professional who has considered your own circumstances.

1.2 Editorial independence

Editorial decisions about what is covered, how it is covered and which stories are published are made by our editorial team and not by advertisers. Where a commercial arrangement exists in connection with a piece of content, that arrangement is disclosed in or near the content concerned.

2. Legal form, registration details, tax identifiers and responsible persons

The legal entity that operates this website is Viewpoint Holdings (Pty) Ltd, a private company incorporated in the Republic of South Africa under the Companies Act 71 of 2008. The company has a separate legal personality and its shareholders enjoy limited liability. Its incorporation is recorded by the Companies and Intellectual Property Commission.

  • Registered name: Viewpoint Holdings (Pty) Ltd
  • Trading name: Wayfare Culture
  • Legal form: private company (Pty) Ltd, incorporated with limited liability under the Companies Act 71 of 2008
  • Company registration number: 2019/483471/07
  • Registration authority: Companies and Intellectual Property Commission (CIPC), Republic of South Africa
  • Country of incorporation: Republic of South Africa
  • Website identity: CluePax.com
  • Website language: English

The registration number shown above is the unique identifier allocated to the company by the CIPC and is the number that should be quoted in any formal correspondence, invoice query, legal notice or contract relating to this website.

2.1 Tax identifiers

Where the company is registered for value-added tax, its VAT registration number is reflected on every tax invoice it issues, together with the other particulars required by the Value-Added Tax Act 89 of 1991. Where the company is not registered for value-added tax, no VAT is charged and no VAT is included in any price quoted. If you require a tax invoice, a VAT registration number for a particular transaction, or confirmation of our tax status for your own accounting records, you may request it in writing from [email protected].

2.2 Directors, representatives and the Information Officer

The company's directors are recorded on the public register maintained by the CIPC, and any change in the composition of the board is filed with the Commission within the period prescribed by the Companies Act. In addition, the company has appointed an Information Officer and, where appropriate, one or more Deputy Information Officers, whose particulars are registered with the Information Regulator in terms of section 55 of the Protection of Personal Information Act 4 of 2013. The Information Officer is responsible for the company's compliance with that Act and with the Promotion of Access to Information Act 2 of 2000.

The current details of the Information Officer, and the manual required by section 51 of the Promotion of Access to Information Act, are available on request from [email protected]. The manual describes the records the company holds, the categories of information it may withhold and the procedure to be followed when requesting access to a record.

2.3 Licences, accreditations and self-regulation

At the date of this page the publisher is not a member of a self-regulatory or accreditation body that specifically regulates the publication of this website, and it does not subscribe to an external code of conduct in that regard. Should that change, the name and address of the body and the code of conduct to which we subscribe will be recorded in this section. Where the company is required to hold any licence, permit or registration for a particular activity, that requirement is met before the activity is undertaken.

3. Registered office and how to reach us

Our physical address, at which we will accept service of all legal documents, court process, notices and official correspondence, is:

27 Somerset Road, Green Point, Cape Town, 8005, South Africa

Written correspondence is the standard route for legal notices, formal complaints, data protection requests, access-to-information requests, media enquiries and advertising queries. Correspondence may be sent electronically to [email protected], which is the only electronic contact address published on this website. Messages sent to that address are monitored during ordinary South African business hours, and we aim to acknowledge substantive correspondence within a reasonable time.

When you write to us, please include your full name, the email address associated with your account or subscription, a clear description of what you need and any reference number you have received from us. This helps us route your enquiry correctly and answer it without unnecessary delay. If you are exercising a right under data protection law, please say so expressly so that your request is handled under the correct procedure.

3.1 Contacting us about personal information

Requests to access, correct or delete personal information, objections to processing, and complaints about the way personal information has been handled should be directed to the Information Officer through [email protected]. Please mark the subject line clearly so that the request reaches the right person.

4. Purpose, scope and intended audience of this website

This website is an online entertainment and celebrity culture magazine. Its purpose is to publish news, features, interviews, reviews, opinion, photography, video and other editorial material about the entertainment industry in South Africa and beyond, including film, television, streaming, music, radio, theatre, fashion, awards, red-carpet events and the people who work in those industries.

The site also supports the commercial side of that publishing activity. Depending on what is offered at any given time, it may allow visitors to buy single issues or digital editions, to take out a subscription, to enter competitions, to sign up for newsletters, to comment on articles, to submit letters or pitches, and to view advertising and sponsored content.

The website is aimed at a general audience in South Africa and at interested readers elsewhere. It is written in English. It is intended for people who are old enough to use an online publishing service without supervision. Where content deals with adult themes, it is presented in an editorial manner, but we do not knowingly direct the site at young children and we do not collect personal information from children without the consent required by law.

The website is not intended to provide news that must be acted upon immediately for safety reasons, and it is not an emergency service. If you need urgent help, please contact the appropriate public emergency service rather than this website.

5. Access to, and acceptable use of, the website

Access to the public parts of this website is free of charge, although you pay for your own data, device and internet connection. Some features require you to register an account, subscribe or accept additional terms, and those additional terms apply in addition to this page.

We may change, suspend, withdraw or restrict any part of the website, any feature or any content at any time. We do not guarantee that the site will always be available, uninterrupted or free of errors, and we may take the site offline for maintenance.

When you use this website you agree to do so lawfully and with respect for other people. In particular, you must not:

  • use the website for any unlawful purpose or in breach of any applicable legislation;
  • copy, scrape, harvest, mine, index or systematically extract content, contact lists, comments or other data from the site without our written permission;
  • post or transmit material that is defamatory, hateful, harassing, discriminatory, obscene, threatening, misleading or invasive of another person's privacy;
  • impersonate any person, or misrepresent your affiliation with any person or organisation;
  • upload viruses, malware, spyware or any other harmful code, or attempt to gain unauthorised access to the site, its servers or any connected system;
  • interfere with the security, integrity or performance of the site, including by means of denial-of-service attacks or automated traffic;
  • infringe the copyright, trade mark or other rights of the publisher, our contributors, our photographers or any third party;
  • use the website to send unsolicited commercial communications.

Where you submit a comment, letter, photograph, video or other contribution, you confirm that you have the right to submit it, that it does not infringe anyone else's rights, and that we may publish, edit, archive or remove it. We may moderate, edit or remove any contribution at our discretion, and we may suspend or close an account that repeatedly breaches these rules.

6. Ownership of content, trade marks and permitted use

All material on this website, including text, headlines, photographs, illustrations, graphics, layout, design, logos, audio and video, is owned by the publisher or is used under licence from the copyright owner, and is protected by the Copyright Act 98 of 1978 and by applicable international copyright rules.

The names CluePax.com, Wayfare Culture and any associated logos, slogans and product names are trade marks or trading names of the publisher or its licensors and are protected under the Trade Marks Act 194 of 1993 and the common law of passing off.

You may read, view and print the content on this site for your own personal, non-commercial use, and you may share a hyperlink to a page. You may not, without our prior written permission:

  • reproduce, republish, repost, redistribute or resell any substantial part of the content;
  • make the content available on another website, application, feed, database or platform;
  • use the content for training, fine-tuning or developing automated or machine-learning systems;
  • alter, adapt, translate or create derivative works from the content;
  • remove or obscure any copyright notice, credit, watermark or attribution;
  • use our trade marks, logos or brand elements in a way that suggests endorsement, partnership or affiliation.

Short quotation for the purposes of review, criticism, reporting or academic discussion is permitted within the limits allowed by law, provided the source and author are clearly credited and a link to the original is included where reasonably possible. Requests for syndication, licensing, reprints, commercial use of photographs or use of our archive should be sent to [email protected].

7. Accuracy, availability and proportionate limitation of liability

We take care to publish accurate material, and we correct significant errors when they come to our attention. Even so, entertainment journalism moves quickly, facts change, and sources are sometimes mistaken. Editorial content is provided as general information and commentary, not as a statement of fact that you should rely upon for a decision that has legal, financial or personal consequences. Dates, venues, prices, line-ups and schedules published by third parties are subject to change without notice.

The website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we do not warrant that the site will be uninterrupted, secure, error-free or free of viruses, nor that any content is complete or current.

To the fullest extent permitted by law, the publisher, its directors, employees, contributors, freelancers and service providers are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, data, goodwill or opportunity, arising out of or in connection with the use of, or inability to use, this website or any content on it. Where liability cannot lawfully be excluded, our liability is limited to the amount you paid to us for the product or service giving rise to the claim, or, if you paid nothing, to a nominal amount.

Nothing on this page excludes or limits any right you have under the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002 or any other law that cannot be waived by agreement, and nothing on this page excludes liability for fraud, wilful misconduct or gross negligence.

8. External links, third-party content and advertising

This website contains links to other websites, embedded media, social media features, payment pages, delivery partners and advertising supplied by third parties. Those services are controlled by the third parties concerned and not by us.

We do not endorse and are not responsible for the content, accuracy, security, privacy practices, availability or legality of any third-party website or service, and we do not control the personal information those parties collect through their own cookies and trackers. If you follow an external link or interact with third-party content, you do so at your own risk and you should review that party's own terms and privacy notices.

Advertisements, sponsored articles and branded content are labelled or otherwise identifiable as such. Advertisers are responsible for the accuracy of their own claims and for compliance with the laws that apply to their advertising. If you believe an advertisement on this site is unlawful or misleading, please tell us at [email protected].

9. Related policies and documents

This page does not stand alone. The following documents form part of the legal framework that governs your use of the website, and you should read them together with this page:

  • Privacy Policy - explains what personal information we collect, why we collect it, how long we keep it, who we share it with, and what rights you have under the Protection of Personal Information Act 4 of 2013.
  • Cookie Policy - explains the cookies and similar technologies used on the site, what each category does, and how you can change or withdraw your cookie choices through the cookie banner or your browser settings.
  • Terms and Conditions - the terms that apply to purchases, subscriptions, accounts, competitions and other transactions concluded through the site.
  • Payment and Refund Policy - how payment is taken, how orders are fulfilled, and how refunds, exchanges and cancellations are handled.
  • Delivery Policy - how physical issues, merchandise and other goods are dispatched and delivered.
  • PAIA Manual - the manual published in terms of section 51 of the Promotion of Access to Information Act 2 of 2000, describing the records we hold and how to request access to them.
  • Editorial Complaints and Corrections Policy - how to raise a complaint about a published article and how we handle corrections, clarifications and right-of-reply requests.

Where those documents and this page overlap, the more specific document applies to the specific subject matter. You may request a copy of any of them from [email protected].

10. Applicable law, jurisdiction and consumer dispute rights

This website is operated from South Africa and these terms, together with any dispute arising out of or in connection with the website or its content, are governed by the law of the Republic of South Africa.

Subject to the paragraph below, the courts of the Republic of South Africa have jurisdiction over any dispute. Where a South African court of lower jurisdiction is competent to adjudicate a dispute, that court also has jurisdiction even if the amount in dispute exceeds its ordinary jurisdiction, unless the law provides otherwise.

If you are a consumer within the meaning of the Consumer Protection Act 68 of 2008, nothing here deprives you of the protections that Act gives you, including the right to receive information in plain language, the right to fair and honest dealing, the right to fair value, the right to good quality goods and services, the right to privacy, and the right to fair and reasonable terms and conditions. If you bought online, section 44 of the Electronic Communications and Transactions Act 25 of 2002 gives you a right to cancel the transaction without reason and without penalty within seven days after receipt of the goods, subject to the conditions in that section.

If you have a complaint, please raise it with us first at [email protected]. We would rather resolve a problem directly than have you escalate it. If we cannot resolve a matter between us, you may refer it to the body that has jurisdiction over the dispute, which may include:

  • the National Consumer Commission, for complaints about consumer rights under the Consumer Protection Act 68 of 2008;
  • the Consumer Goods and Services Ombud (CGSO), for complaints about goods and services supplied in South Africa;
  • the Information Regulator, for complaints about the processing of personal information under the Protection of Personal Information Act 4 of 2013;
  • the applicable court or the Press Council of South Africa or another recognised media complaints body, for complaints about editorial content;
  • the Companies and Intellectual Property Commission, for matters relating to company records.

We ask that you give us a reasonable opportunity to respond before approaching any of those bodies.

11. Amendments to this page and version control

We may amend this page from time to time to reflect changes in our business, our practices or the law. The version published on this date replaces all earlier versions. Material changes will be marked by a new last-updated date at the top of the page, and where the change affects the way we handle personal information or the terms on which goods or services are supplied, we will bring it to your attention through the website, by email or through the cookie banner. Continued use of the website after a change takes effect means that you accept the updated page.

Do not rely on a printed or cached copy of this page. The current version is always the version published on this website.

12. Contact route, questions and last updated

We hope this page answers your questions about who operates this website, what may be published about the company, and how legal notices and complaints should be raised. If anything here is unclear, please write to us and we will explain it in plain language.
